Specially if you're planning a multi-page website or mutimedia design, we strongly recommend this preliminary design service. The great advantage of useing this service is that you're not responsible for the total cost of the entire project nor obligated to complete project. You are only responsible for the preview service. SCOPE OF SERVICE

-This service includes Initial Project Consultation, your Content Review, Project Review, and one Screen Shot of your Preliminary Design.
-If you like the Preview design this service fee will be credited to the total cost as down payment for the project.

*The purpose of this service is to provide project consultation and show you a preliminary preview (an image of screen shot), not the actual design itself. Preliminary design is not completed design. Your satisfaction is emphasized but not guaranteed.
*After purchase of this service you may also order our extra design services at our discount rate to improve your design. We will invoice separately for your additional Add-On Design service. Before you purchase this customization service please review the details and price information on our Design Services page.
*Our average turnaround time for this service is 7 to 14 business days after we receive all final contents and payments.

Preview Example

In designing work usually first stroke, first page, first scene is the most effort taking and time consuming task. The Preview Example on the left is not the exact first screen shot of the preliminary design because the particular design includes many layers of animation scenes. Preliminary design is partially completed design because most projects involves vast amount of designing on its front page and it's not always possible to generate a screen shot without completing the project.

With this Preview service you will receive a preliminary screen shot image, similar to the example, for your preview.

STEP 1:	Get Ready
	First you need to Gather all your Image & Text files that you'd like to include into the design. Organize them in order of how you want to present. Check for image size, spelling, and errors.
STEP 2:	Template Selection
	If you would like us to reference or use particular elements of a template or client sample such as animation, style, image, audio, please let us know your favorite design. For our additional design services, please review the pricing and service information on our "Design Services" page.
STEP 3:	Order Here
	On this page fill out the order form and Make your payment online. For your contact Information, please use your Paypal verified email and shipping information
STEP 4:	Upload Files & Project Review
	After you make your payment you will be directed to our Upload page where you can Upload your files and design instructions. After we receive your payment and final content files, we will review your project and prepare the invoice with project detail for you. If you upload your files later time or use our FTP, please inform us by email.
STEP 5:	Project Consultation
	After we review your contents and project details we will compare our plans with you, suggest budget saving tips, design options, note your preference, and more..
STEP 6:	Preliminary Preview
	Based on the notes from our Project Consultation, we will design a preliminary preview (an image of first page screen shot). At this point we can suggest further design options and estimates.

TERM OF SERVICE

PROFESSIONAL SERVICES AGREEMENT

For and in consideration of the mutual promises contained in this Agreement, Designer, and Client agree as follows:

Indemnification:  For all matters submitted to Designer, the client represents to Designer and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Designer for inclusion in project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and indemnify Designer and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.  The Client also agrees to release, defend, hold harmless, and indemnify Designer and its directors, officers, agents, and employees from any and all claims, liability, and/or actions, and expense (including attorney’s and other expenses of litigation) resulting from (i) defects, deficiencies, imperfections and/or unintended data in the materials supplied by Client to Designer and/or (ii) the contents being unlawful and/or infringing on any patent, copyright, trade name, service mark, proprietary right, intellectual property rights or any other personal or proprietary right of another or others, and/or (iii) the contents being unlawful to import, distribute, use or own in the receiving country/location.

Non Specified items and Designer’s rights:  Designing and programming involves vast amount of technical details and specifications.  CdCardX is only responsible for implementing the project as specified in the Scope of service and project description in the Order Form. If the customer wishes to make additional changes he should request an additional quote.  What is not specified in this Order Form is not charged and for the Items that are not specified, Client agrees to delegate the full right to Designer to change, create, delete, and substitute by Designer’s own interpretation of the right fit for the job as well as on-time completion.  In any circumstance the Client shall not hold responsible for the act of Designer’s delegated rights and client shall not use the dissatisfaction of the final result as the excuse of refund or non payment.  If Client wants include or change the items on this form Client must specify the change in written form prior to the construction of this project and they are subject to extra charge.

Satisfaction and Refund Policy: The charges and fees of Designer’s service are the minimal estimates based on the time spent and reserved for the project, effort, and resources that are required to accomplish the each item in the Order Form.  Client satisfaction of final result is emphasized but not guaranteed.  Since CdCardX is offering non-tangible irrevocable goods we do not issue refunds after the product or service is purchased.  Client is responsible for understanding upon purchasing any articles and service terms on our site.  The effort, and resource of professionals has reserved and purchased and costs of commissioning images or subcontracting talent, software or run-time license costs have been purchased by the time of entering this agreement.  For these reasons the no refund is allowed.

Client’s Responsibilities: Client shall do the following in a timely manner so as not to delay the services of Designer: Designer may rely fully on information and instructions provided by Client.  (If applicable)  (1) Provide all criteria and full information as to Client’s requirements for the Project, including design objectives, constraints, performance requirements, flexibility and expandability, and any budgetary limitations.  (2) Assist Designer by placing at Designer’s disposal all available information pertinent to the Project including data relative to design or completion of the Project; all of which the Designer may use and rely upon in performing the services under this Agreement.  (3) Give prompt written notice to Designer whenever Client observes or otherwise becomes aware of any development that affects the scope or timing of Designer’s services, or any defect or nonconformance in the work of any contractor.  (4) If Client fails to supply Designer with the complete required documents, texts and graphics contents for the project within one week of the commencement of the project, the project will be canceled and 50% of the entire amount of the contract becomes due and payable.

Termination: CdCardX reserves a right to cancel the order and terminate this agreement in cases (1) Client breach the terms of this agreement herein, (2) Client demands unreasonable revision of the order, (3) Client fail to make the payments on time, (4) Client fails to follow the “Client’s Responsibilities”.  In case of termination due to above conditions, Clint is responsible for the charges and fees as described in this agreement.

Payment: Client must make the payments to the Designer on time as specified in the Order Form.  Making the payment also qualifies as the acceptance of the term of this agreement.

Access Authorization: If the project requires Designer to acquire contents from the Client’s web site, by this agreement the Client hereby authorizes Designer to access the client's web site directory and use any public files including images, texts, documents, video & audio files, html and program scripts which are needed for this project.

Method of Delivery:  The completed project will be delivered to the client by zip folder download or attached to an e-mail message.  Files such as psd and fla that are created for editing purpose during the project development are called Work Files.  The work files are property of Designer and will not be provided to Client.

Delivery Schedule: 
Our turnaround time starts from when all final contents and payments were received.   Any Modifications, Revisions, Additional Add-On Services, and delayed Client’s Responsibilities shall extend our turnaround time.  Although we’ll make every effort to meet your deadline, we are not liable for any direct, indirect, special, incidental, reliance, or consequential damages result from the delays of our service.  Our average or anticipated turnaround time is estimates and not guaranteed.  Our Rush Order service guarantees the date of delivery.  If CdCardX fails to meet the date of shipping for the Rush Order Service and failure is due to CdCardX fault, CdCardX shall accept limited liability and shall remedy by refunding the half of total cost.

ISP ( Only applied to Web Design Service): The client understands that any Internet Service Provider (ISP) service requires a separate contract with the ISP of the client's choice.  The client agrees to select an ISP which allows Designer full access to the web site and a cgi-bin directory via FTP and telnet. The client further understands that if the ISP's operating system is not a UNIX system, the response form software will not work, and providing a substitute will incur additional charges.

Modifications, Revisions, and Additional Add-On Services:  If specific periods of time for rendering services set forth in the Scope of Services are exceeded through no fault of Designer, or if Client has requested significant modifications or changes in the general scope, extent or character of the Project, all rates, measures and amounts of compensation, as well as the time of performance, shall be equitably adjusted.  The Scope of Services related to the Project may be revised, or modified to include supplementary service for any reason, upon agreement of Designer and Client.  Client may modify the scope, extent or character of the Project, necessitating modifications to the Scope of Services.  In each case, the Scope of Services will be modified in a manner mutually acceptable to the Designer and the Client, and the service fee will be equitably adjusted to accommodate the changes.  Any change to the Scope of Services or the service fee will be documented in the Revision Stage of the Order Form, and the form attached hereto that will become a part of this Agreement.  Designer has the right to set an extra price quote if the client wishes to make additional project changes which were not stipulated before and were not stated in the project description.  Should the Designer and Client be unable to agree on modifications to the Scope of Services and/or Service Fee, Designer shall have the right to terminate this Agreement.

Assignment of Project: Designer reserves the right to assign subcontractors and independent professional associates to this project to insure the right fit for the job as well as on-time completion.

Intellectual Rights: The Client acknowledges and agrees that Designer retains ownership of all original artwork, in any media, including digital files, whether preliminary or final. The Client waives the right to challenge the validity of Designer's ownership of the art subject to this agreement because of any change or evolution of the laws.  Copyright to the final or preliminary work developed by Designer is the property of Designer and the contents of the assembled work can not be parted, disassembled, copied, resold, or distributed. Upon final payment of this contract, the client is assigned rights to use the final work in its original form of this project.  All contents including graphics, text, computer codes, and multimedia files contained or assembled in the finial or preliminary work must be remain in its original form of this project and can not be parted, disassembled, copied, resold, or distributed.  Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Designer and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios without prior written notice to Client.

Limitation of Liability: Designer dose not warrant that the functions contained in these projects will meet the client's requirements or that the operation of the project will be uninterrupted or error-free. The entire risk as to the quality and performance of the final design project is with the client.  In no event will Designer be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these projects or web site, even if Designer has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed separable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

The Client shall hold harmless and indemnify Designer from all loss, damage, costs and expenses which Designer may suffer or sustain which results from acts or omission or any contractor, subcontractor, supplier, or any of their agents, employees or any other persons (except Designer’s own employees and agents) furnishing or performing any of the work related to this project.  
 
Client agrees that it shall not hold Designer or its agents or employees liable for any incidental or consequential damages which arise from Designer's failure to perform any aspect of the Project in a timely manner, regardless of whether such failure was caused by intentional or negligent acts or omissions of Designer or a third party. Furthermore, Designer disclaims all implied warranties, including the warranty of merchantability and fitness for a particular use.

Method of Communication:  For on-time completion of the project, email can be used for minor modifications, revision, and additional add-on services.

Time & Date Reference:  In case of any disputes between the Client and Designer about the time and date of file , email, or payment transfers, the time & date verifications shall be referenced from the log records of Designer’s hosting server and third party payment escrow company’s records.  The fee for this verification research is $100 per research.

Discounts: If a discount(s) was applied in the Order form.  The discount by Designer for the service shall be based on following agreements:
- Limited usage license:  The discount shall be given to the client for the limited usage of designer’s work for the predetermined number of copies.
- Designer’s banner inclusion:  The discount shall be given to the client for the inclusions of designer’s and the sponsors of designer’s banners or advertisements to the client’s presentation design.
- Non-Exclusive right & Royalty free license for Client’s images and texts:  The discount shall be given to the client for the royalty free usages of the clients’ contents that are used for this project including images, texts, movie clips, and multimedia contents for the designer’s portfolios, future designs, and design templates.

Program Incompatibility issue:
No program or script can be totally compatible with other programs and computers.  We design and program our projects for common operating systems and program software.  However we do not guarantee our work to be compatible to other programs or computer settings.  Some functions and features on our program can be compromised due to different operating systems, software settings and different types of computers.  The project shall be constructed and programmed for Window based operating systems on PC compatible computers. If project requires hybrid format Hybrid Macintosh/PC (HFS/ISO 9660) CD-ROMs may cause incompatible PC program functions on Mac, and different versions of Mac OS. Laws Affecting Electronic Commerce:  From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend Designer and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.
